NOTICE OF INTENT TO ADOPT ORDINANCE
The City of Belen, New Mexico (the “City”) hereby gives notice of a regular meeting of the City Council (the “Council”) of the City on April 17, 2023, at the hour of 6:00 p.m. at Belen City Hall, 100 South Main St., Belen, New Mexico 87002. At such meeting, or as soon thereafter as the matter may be heard, the Council, constituting the governing body of the City, will hold a public hearing concerning, and will consider for adoption an ordinance (the “Ordinance”) relating to the City’s proposed Taxable Industrial Revenue Bonds (Arcosa Wind Towers Project), Series 2023. The title (subject to amendment or substitution) and subject matter of the Ordinance are as follows:

AN ORDINANCE
ORDINANCE AUTHORIZING THE ISSUANCE AND SALE OF CITY OF BELEN, NEW MEXICO TAXABLE INDUSTRIAL REVENUE BONDS, IN ONE OR MORE SERIES, IN AN AGGREGATE PRINCIPAL AMOUNT NOT TO EXCEED $65,000,000 TO FINANCE THE ACQUISITION OF ALL LAND, EASEMENTS AND OTHER PROPERTY RIGHTS, AND THE ACQUISITION, CONSTRUCTION, RENOVATION, REFUBISHMENT, EQUIPPING AND INSTALLATION OF ALL NECESSARY AND USEFUL CAPITAL EQUIPMENT AND OTHER TANGIBLE PERSONAL PROPERTY FOR THE CONSTRUCTION OF THE ARCOSA WIND TOWERS MANUFACTURING FACILITY FOR USE BY ARCOSA WIND TOWERS, INC., A DELAWARE CORPORATION (TOGETHER WITH ITS SUCCESSORS, ASSIGNS AND AFFILIATES, THE “COMPANY”) TO MANUFACTURE STRUCTURAL TOWERS AND INTERNAL COMPONENTS FOR USE AT WIND FARMS (THE “PROJECT”); AUTHORIZING THE EXECUTION AND DELIVERY OF AN INDENTURE, A LEASE AGREEMENT, A BOND PURCHASE AGREEMENT, THE BONDS AND OTHER DOCUMENTS IN CONNECTION WITH THE ISSUANCE OF THE BONDS AND THE PROJECT; MAKING CERTAIN DETERMINATIONS AND FINDINGS RELAING TO THE BONDS AND THE PROJECT; RATIFYING CERTAIN ACTIONS TAKEN PREVIOUSLY AND REPEALING ALL ACTIONS INCONSISTENT WITH THIS ORDINANCE.

Complete copies of the proposed Ordinance are on file and available for public inspection during the normal and regular business hours of the City Clerk, whose office is located at Belen City Hall, 100 South Main St., Belen, New Mexico 87002, upon request and payment of a reasonable charge.
